Alto Garda Servizi Plans Capital Increase and Board Expansion

The Alto Garda Servizi is moving towards a corporate restructuring and a capital increase, all sanctioned by the assembly scheduled for July 28. The agenda includes the increase of the share capital from €27.6 million to €29.5 million.

A consortium of banks — Mediocredito del Trentino Alto Adige, Cassa centrale delle Casse rurali, Cassa Rurale di Arco, Caritro, and Isa — will contribute the €2 billion through new shares and the agreed premium included in an increase over the nominal value of the shares.

Changes to the Board of Directors

The capital increase will be accompanied by an expansion of the board of directors, which will grow from the current 3 to 5 members.

Currently, the company (ex Amsea) is managed by three people: Gino Franzinelli, accountant Murgese (co-opted to replace the resigned Paternollo), and Rudy Marcolini. They will be joined by two additional directors: one appointed by the banks, likely Dr. Franceschi from Isa (the Autonomous Development Institute, which controls Btb, already holds shares in AGS) and one appointed by the mayor.

Application and Nomination Procedure

As is customary, on July 10th, with the signature of Deputy Mayor Pietro Matteotti due to the declared absence of the mayor, an invitation was issued for candidates who believe they meet the requirements to present their candidacy for the position of AGS councilor.

The deadline was set for 12:30 p.m. on July 27. Since the assembly is scheduled for July 28, the mayor will carry out the appointment during the afternoon of July 27.
