Brescia Municipalities Approve Water and Energy Companies Formation
The municipalities on the Brescia side of the lake, gathered in Portese di San Felice, approved the statute for the establishment of two new companies the other evening: the LLC «Gardalumen», formed by Azienda speciale Garda Uno and Lumenergia, and the joint-stock company «Gardambiente». The first will have its registered office in Padenghe (indeed, it is there that the pilot company directed by Guido Maruelli, former mayor of San Felice, will move in the coming months) and administrative offices in Lumezzane.
The goal? To acquire concessions related to the use of water resources, reactivate hydroelectric plants and facilities, take stakes, sign exchange and transfer agreements with Enel or other private producers, conduct research and planning, distribute any source of energy for domestic, artisanal, industrial, agricultural, and commercial use, engage in laboratory studies particularly concerning hydrocarbons and new sources, build and operate facilities for propane distribution, as well as any means of transportation for liquid and gaseous hydrocarbons.
Activities and objectives of the companies
The scope of potential activities is lengthy. It includes the design and construction of oil refining plants, trading of coal and other energy products, management of structures for storage, treatment, and definitive disposal of all kinds of waste and residues, as well as facilities for the recovery and recycling of raw materials, production and distribution of cooling systems, installation and operation of public lighting networks (including votive lamps in cemeteries), development and management of parking lots, semaphore systems, telematic and IT cabling, mapping and monitoring of territory, environmental defense, recovery, and remediation, as well as acquiring patents related to energy sources.
The share capital amounts to 50,000 euros. The number of members on the board of directors can range from three to eleven. At the start of the session, the assembly of the Azienda speciale – Consorzio approved the 2000 financial statement. It then approved the creation of «Garda Ambiente», established together with the sister company on the Veronese side.
The new joint-stock company will become the operational arm, managing, in the future, sewer collectors, aqueducts, the Peschiera wastewater treatment plant, solid waste disposal, beach cleaning, the “trash boat,” and other services. The ownership of the networks, properties, equipment, and various means will remain with the two Consorzi.
Initially, each municipality will receive 0.5% of the shares. The provinces of Brescia and Verona may join with a 5% stake, but only jointly. Subsequently, the percentages will be reassigned based on the services contributed, namely according to turnover.

These include: “After the first five years, and periodically every five years, if one or more existing member municipalities wish to entrust additional services, an increase in share capital will be carried out in their favor, without surcharge, proportional to the generated turnover, with a subsequent reallocation of stakes among all participants.” The population size, however, will not be considered.
«Garda Ambiente» will have a board of directors composed of seven people: four from one side and three from the other, rotating. Afterward, a group of mayors submitted a motion requesting to discuss possible candidates. The assembly chairman, Cino Anelli, halted the request, fearing behind-the-scenes arrangements. It was agreed to revisit the matter on Wednesday the 25th.
